These Terms and Conditions govern access to and use of the website investorexchange.io (the “Site”) and participation in the Investor Exchange corporate event (the “Event”), organized by Talent Source Solutions Corporation (“Talent Source Solutions,” “we,” or “our”).

By accessing the Site, submitting a registration request, or attending the Event, the user expressly acknowledges and accepts these Terms and Conditions in full.

3. Purpose of the Site and the Event

3.1 Nature of the Site

The Site provides informational content regarding the Event and allows users to request access and submit registration information. The Site is not an investment platform and does not facilitate the purchase or sale of securities or financial products.

3.2 Nature of the Event

Investor Exchange is a private invitation-based corporate event intended exclusively for informational, educational, and networking purposes.

Participation in the Event does not constitute membership, partnership, shareholder status, investment approval, or any contractual right to participate in future business opportunities.

3.3 No Securities Offering or Investment Advice

Nothing contained on the Site, presented during the Event, or communicated by organizers, speakers, sponsors, or attendees shall constitute:

  • an offer to sell securities;

  • a solicitation of an offer to buy securities;

  • investment, financial, legal, accounting, or tax advice;

  • a recommendation regarding any investment opportunity; or

  • a public offering of securities in any jurisdiction.

Any potential investment opportunity referenced in connection with the Event shall be subject to separate documentation, investor qualification procedures, verification requirements where applicable, and compliance with applicable securities laws and regulations.

3.5 Compliance with Securities Laws

Talent Source Solutions intends for the Event and related communications to comply with applicable securities laws and regulations, including, where applicable, exemptions from registration requirements under United States securities laws and comparable international regulations.

Nothing on the Site or during the Event shall be interpreted as a general solicitation or public offering of securities where prohibited by applicable law.

Any investment-related discussions or materials that may be made available following the Event shall be subject to separate legal documentation, investor qualification procedures, and applicable regulatory requirements, including accredited or sophisticated investor verification where required.

Certain investment opportunities that may be discussed following the Event may be conducted pursuant to exemptions under applicable securities laws, including Rule 506(c) of Regulation D under the United States Securities Act of 1933, as amended. Where applicable, participation may be limited to verified accredited investors, and Talent Source Solutions may utilize third-party compliance providers, including VerifyInvestor.com, to conduct investor verification and compliance procedures.

4. Eligibility and Accuracy of Information

4.1 Legal Capacity

Users must be at least eighteen (18) years old and possess full legal capacity under applicable law.

4.2 Accuracy of Information

The user agrees to provide truthful, accurate, and complete information during registration and communications with Talent Source Solutions.

Talent Source Solutions reserves the right to reject or revoke registrations containing inaccurate, incomplete, misleading, or false information.


5. Registration and Right of Admission

5.1 Access Request

Submission of a registration form constitutes only a request for admission and does not guarantee access to the Event.

5.2 Profile Validation

All registration requests are subject to a discretionary validation and approval process based on internal institutional criteria.

Talent Source Solutions reserves the right of admission, participation, and continued attendance without obligation to provide justification.

5.3 Investor Qualification

Participation in the Event does not guarantee eligibility to participate in any future investment opportunity.

Talent Source Solutions reserves the right to request additional information, documentation, or verification materials to confirm investor eligibility, accredited investor status, sophistication, identity, source of funds, regulatory compliance, or other requirements deemed necessary under applicable laws and internal compliance procedures.

5.4 Attendee Conduct and Confidentiality

Participants agree to behave professionally and respectfully during the Event.

Talent Source Solutions reserves the right to remove or deny access to any participant whose behavior is considered disruptive, unlawful, inappropriate, abusive, misleading, or harmful to the Event, its participants, or its organizers.

Certain information shared during the Event may be confidential, proprietary, commercially sensitive, or subject to disclosure restrictions. Participants agree not to reproduce, distribute, publicly disclose, or commercially use non-public information obtained during the Event without prior written authorization.


6. Intellectual Property

All content available on the Site and all Event-related materials, including but not limited to texts, presentations, logos, graphics, videos, branding, designs, and audiovisual content, are the exclusive property of Talent Source Solutions or their respective owners and are protected by applicable intellectual property laws.

Unauthorized reproduction, distribution, modification, publication, or commercial use without prior written authorization is strictly prohibited.


7. Media and Recording Authorization

By attending the Event, participants acknowledge and authorize Talent Source Solutions to capture photographs, video recordings, and audio recordings during the Event and to use such materials for corporate, promotional, marketing, and informational purposes in any media format, unless otherwise prohibited by applicable law.


8. Limitation of Liability

To the maximum extent permitted by applicable law, Talent Source Solutions shall not be liable for any direct, indirect, incidental, consequential, commercial, reputational, or financial damages arising from:

  • use of the Site;

  • participation in or attendance at the Event;

  • reliance on information presented during the Event;

  • interactions between attendees, speakers, sponsors, or third parties; or

  • any business, investment, or commercial decisions made by participants.

Participation in the Event is voluntary and undertaken at the participant’s own discretion and risk.


9. Privacy and Personal Data

The processing of personal data collected through the Site or during the Event shall be governed by the applicable Privacy Policy and Colombian Law 1581 of 2012 regarding personal data protection.

By submitting information through the Site, the user authorizes the processing of personal data in accordance with the Privacy Policy.


10. Force Majeure

Talent Source Solutions shall not be liable for delays, interruptions, modifications, cancellations, or failure to perform obligations arising from causes beyond its reasonable control, including but not limited to natural disasters, public health emergencies, government actions, labor disputes, technical failures, internet outages, security incidents, venue unavailability, or force majeure events.

Talent Source Solutions reserves the right to modify the Event schedule, format, speakers, venue, or programming at its discretion when reasonably necessary.


11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Colombia, without regard to conflict-of-law principles.

Any dispute arising from these Terms, the Site, or participation in the Event shall be subject to the exclusive jurisdiction of the courts of Medellín, Colombia.


12. Modifications

Talent Source Solutions reserves the right to modify, update, or replace these Terms and Conditions at any time without prior notice. Continued use of the Site or participation in the Event after such modifications constitutes acceptance of the updated Terms.


13. Final Acceptance

By accessing the Site, submitting a registration request, or attending the Event, the user confirms full understanding and acceptance of these Terms and Conditions and the Privacy Policy.
